WAYSIDE II ROAD MAINTENANCE DISTRICT

MEASURE D
"Shall the Ordinance of the Portola Valley Town Council sitting as the
governing board of the Wayside II Road Maintenance District imposing the
following maximum annual special tax be approved to provide revenue to maintain
the roads and related drainage in the District?" (A) Improved Parcels - $625
per parcel (B) Unimproved Parcels - $0 per parcel

IMPARTIAL ANALYSIS OF MEASURE D

The Council of the Town of Portola Valley, sitting as the governing board of
the Wayside II Road Maintenance District ("District") has called for a special
tax election to be combined with the general election to be held on November 4,
1997, for the purposes of presenting to the District's qualified electors a
ballot measure, which, if approved by more than two-thirds (2/3) of the voters
voting on the measure, will authorize the District to impose a maximum annual
special tax to raise revenue to maintain the roads and related drainage in the
District at the rate of $625 per improved parcel and $0 per unimproved parcel
on the parcels in the District.

If the measure receives more than a two-thirds (2/3) vote, the special tax may
be levied and collected at a rate not to exceed $625 per improved parcel and $0
per unimproved parcel. Money collected from the tax levy will be placed in the
District's general fund and expended to maintain the roads and related drainage
in the District. If the measure does not receive more than a two-thirds (2/3)
vote, the special tax may not be levied.

Argument in favor of Measure D

On June 11, 1997 the Town Council agreed to loan $100,000 to the upper Wayside
maintenance district, to be repaid by the entire existing tax income of the
district over approximately 14 years. That $100,000 loan has funded the Summer
'97 road repairs, leaving no additional money for future maintenance.

Public roads in Portola Valley require on the average about $7,700 of
maintenance per mile per year. Keeping upper Wayside Road in good shape will
probably require a comparable amount. The proposed tax will be set each year at
a rate less than or equal to $625 per improved parcel for the 21 improved
parcels on the road by the advice of the district Advisory Committee (upper
Wayside residents appointed by the Town Council) and by resolution of the Town
Council.

The Town Council has been openhanded and openhearted enough to help us with a
loan to the road maintenance district and in setting up this election. We can
disagree with them on the issue of road ownership and still realize that we
need to provide this funding for the road. If the Council later has a change of
heart it should be possible to reduce or repeal the tax.

Vote yes in November. Otherwise we're up the creek without a road.
